Storage Agreement Structure

1. Agreement Type

  • Nature: License to access storage units (not warehouse/bailment)
  • Minimum Term: One calendar month initial term
  • Renewal: Continues month-to-month after initial term

2. Customer Obligations

  • Responsible for unit security and cleanliness
  • Must comply with all applicable laws
  • Cannot modify storage unit without consent
  • Must notify of contact detail changes
  • Required to obtain personal insurance (strongly recommended)
  • Must be owner or authorized to store goods

3. Payment Terms

  • First Payment: First month's fees paid upon entering agreement
  • Ongoing: Monthly fees paid in advance
  • Late Fees: 10% per month on overdue amounts
  • Access Restriction: Can restrict access for non-payment
  • Recovery Costs: Customer liable for debt recovery costs

4. Access Rules

  • Customer granted right to access storage unit
  • Facility can restrict access for:
    • Non-payment
    • Breach of agreement
    • Safety/security reasons
  • Must comply with facility operating procedures
  • Access during facility hours only

5. Liability and Insurance

  • Risk: Goods stored entirely at customer's own risk
  • Indemnity: Customer indemnifies storage facility against third-party claims
  • No Responsibility: Facility not responsible for damage, loss, or theft
  • Insurance: Customer strongly recommended to obtain personal insurance coverage
  • No Bailment: No bailment relationship exists

6. Termination Conditions

  • Notice: Either party can terminate with one week's written notice
  • Immediate Termination: Possible for material breaches
  • Upon Termination: Customer must:
    • Pay all outstanding amounts
    • Remove all goods from storage unit
    • Leave unit clean and in good repair

7. Prohibited Items

Cannot store:

  • Hazardous substances
  • Illegal goods or stolen items
  • Explosives or flammable materials
  • Perishable goods
  • Firearms or weapons
  • Items that could damage the facility
  • Living creatures
  • Items exceeding weight limits

8. Special Provisions

  • Inspection Rights: Facility can inspect with notice
  • Emergency Access: Facility can enter in emergencies
  • Abandoned Goods: Disposal rights after specified period
  • Assignment: Customer cannot assign or sublet

9. Default Procedures

  • Non-payment: Access denial after grace period
  • Continued Default: Goods may be sold to recover debts
  • Notice Requirements: Written notice before disposal
  • Surplus: Any surplus from sale returned to customer

10. General Terms

  • Governing Law: New Zealand law applies
  • Dispute Resolution: Through New Zealand courts
  • Severability: Invalid clauses don't affect remainder
  • Entire Agreement: Supersedes previous agreements
